Terms of Use – PhysiAssist Health LLC

These Terms of Use (“Terms”) govern your access to and use of the website operated by PhysiAssist Health LLC, including https://physiassist.com and any related pages (collectively, the “Site”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Note: Your use of PhysiAssist’s RCM, CDI, oncology, and other professional services and products is governed by separate written agreements (such as a Master Services Agreement, Statement of Work, and Business Associate Agreement). If there is any conflict between those agreements and these Terms, the service agreements control.

2. Eligibility and permitted use

The Site is intended for business and professional users, primarily in the United States.

By using the Site, you represent that you:

  • Are at least the age of majority in your jurisdiction; and
  • Have authority to agree to these Terms on your own behalf or on behalf of the organization you represent.

You agree to use the Site only for lawful purposes and in accordance with these Terms. In particular, you agree not to:

  • Use the Site in any way that violates applicable law or regulation;
  • Attempt to gain unauthorized access to any part of the Site, our systems, or related networks;
  • Interfere with, disrupt, or damage the Site or servers (for example, via malware, denial-of-service attacks, or harmful scripts);
  • Use automated tools to scrape or download Site content in a way that burdens our infrastructure;
  • Upload or transmit any content that is illegal, infringing, harmful, or invasive of privacy;
  • Submit PHI via general, unsecured contact methods not designated for that purpose.

3. Informational purposes only – no professional advice

The content on the Site (including articles, blog posts, case studies, calculators, and other materials) is provided for general informational purposes only.

It is not:

  • Medical advice;
  • Legal, tax, accounting, or financial advice; or
  • A substitute for professional judgment in patient care or business decisions.

No physician–patient, provider–patient, or other professional relationship is created simply by accessing or using the Site.

4. Clinical content, guidelines, and product tools

Some of our products, particularly oncology-related tools and decision support features, may be designed using or referencing recognized clinical practice frameworks and guidelines, such as the NCCN Clinical Practice Guidelines in Oncology, along with other evidence-based sources.

  • These tools are intended to support clinical and operational decision-making, not replace the judgment of qualified healthcare professionals.
  • Final decisions about diagnosis, treatment, coding, and billing remain the responsibility of the relevant healthcare providers and organizations.
  • PhysiAssist is not endorsed by or formally affiliated with the National Comprehensive Cancer Network (NCCN). Any reference to NCCN Guidelines is for alignment with widely adopted clinical frameworks, not to imply sponsorship, approval, or certification.

You agree that you will not use information or tools from the Site as a substitute for professional clinical training and judgment.

5. Accounts and access credentials

Certain areas of the Site may require you to create an account or use access credentials.

You agree to:

  • Provide accurate and current information when creating an account;
  • Keep your login credentials confidential and secure;
  • Notify us promptly if you suspect unauthorized access or use of your account.

You are responsible for all activities that occur under your account, subject to our obligations under applicable law and our Privacy Policy.

6. Intellectual property

The Site and its content—including text, graphics, logos, icons, images, videos, software, and design—are owned by PhysiAssist or its licensors and are protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal business purposes.

You may not:

  • Copy, reproduce, modify, distribute, or create derivative works based on Site content without our prior written consent;
  • Use any PhysiAssist trademarks, logos, or branding without our written permission;
  • Remove or alter any copyright or proprietary notices or labels on the Site or its content.

7. Privacy and data protection

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key principles:

  • We are committed to handling your information responsibly and securely.
  • We do not sell your personal information.
  • We do not share your personal information with third parties for their own promotional or marketing purposes.
  • Our backend team in India operates under the same confidentiality, privacy, and security requirements as our US team.
  • We host our core infrastructure on Microsoft Azure, leveraging its security features and controls in accordance with our policies and contractual requirements.

By using the Site, you acknowledge and consent to our data practices as described in the Privacy Policy.

8. SMS Communications

If you provide your mobile number and consent to receive SMS messages from PhysiAssist Health LLC, the following terms apply:

  • Brand name: Messages are sent by or on behalf of PhysiAssist Health LLC.
  • Types of messages: Messages may include responses to your inquiries, onboarding and trial information, appointment or call scheduling, service updates, reminders, and other communications related to our revenue cycle management and healthcare services.
  • Message frequency: Message frequency will vary based on your interactions with us but will generally not exceed 4 messages per month.
  • Consent: By providing your mobile number and agreeing to receive SMS messages (for example, via our contact or inquiry forms), you consent to receive SMS communications from us for the purposes described above.
  • Opt-out: You may opt out of SMS communications at any time by texting STOP in reply to any message. After you send STOP, we may send a single confirmation message to confirm that you have been unsubscribed.
  • HELP / support: For help regarding SMS messages, you may text HELP in reply to any message or contact us at contact@physiassist.com.
  • Data rates: Message and data rates may apply according to your mobile carrier and plan.
  • Personal information statement: We do not sell or share your mobile number or other personal information with third parties so they can send you their own promotional or marketing messages.

Your decision to consent to or opt out of SMS messages will not limit your ability to use the Site or otherwise interact with us, though some updates or reminders may be more convenient to receive via SMS.

9. Third-party sites and services

The Site may contain links to third-party websites or services. These are provided for convenience only.

We do not control or endorse third-party sites or services and are not responsible for their:

  • Content or accuracy;
  • Terms of use or privacy practices;
  • Security or availability.

Your use of third-party sites is at your own discretion and subject to those sites’ own terms and policies.

10. Disclaimers

To the fullest extent permitted by law:

  • The Site and all content are provided on an “as is” and “as available” basis;
  • We do not warrant that the Site will always be error-free or uninterrupted;
  • We strive to keep content current and useful, but we do not guarantee that all information is complete, accurate, or suited to your particular situation.

Nothing in this section is intended to reduce or limit our obligations to safeguard data as described in our Privacy Policy or any applicable service agreements with our clients.

11. Limitation of liability

To the fullest extent permitted by law:

  • PhysiAssist and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of or inability to use the Site;
  • Our total aggregate liability for any direct damages arising out of or relating to your use of the Site will not exceed one hundred US dollars (US $100).

These limitations apply regardless of the legal theory and even if we have been advised of the possibility of such damages. They do not limit our obligations under separate written agreements with clients or where such limitations are prohibited by applicable law.

12. Indemnification

You agree to indemnify and hold harmless PhysiAssist and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your violation of these Terms; or
  • Your misuse of the Site.

This section does not limit any rights or protections you may have under applicable consumer protection or other laws.

13. Changes to the Site and these Terms

We may update or modify the Site and these Terms from time to time.

  • When we update these Terms, we will revise the “Last Updated” date at the top of this page; and
  • Where appropriate, we may provide additional notice (for example, via the Site).

If you continue using the Site after updated Terms become effective, you are deemed to have accepted the changes. If you do not agree, you must stop using the Site.

14. Governing law and jurisdiction

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any conflict-of-law rules.

You agree that any disputes arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in or serving Sheridan County, Wyoming, and you consent to the jurisdiction of those courts.

15. Termination

We may suspend or terminate your access to all or part of the Site at any time, with or without notice, if we believe that:

  • You have violated these Terms;
  • It is necessary to protect the Site, our users, or our rights; or
  • We are required to do so by law or a regulatory authority.

Sections that by their nature should survive termination—such as intellectual property, disclaimers, limitations of liability, indemnification, and governing law—will continue to apply.
